The second edition of this acclaimed book continues to provide a discussion of key theoretical and policy issues in corporate finance law. Fully updated, it reflects developments in the law and the markets in the continuing aftermath of the Global Financial Crisis. One of its distinctive features is that it gives equal coverage to both the equity and debt sides of corporate finance law, and seeks, where possible, to compare the two. This book covers a broad range of topics regarding the debt and equity-raising choices of companies of all sizes, from SMEs to the largest publicly traded enterprises, and the mechanisms by which those providing capital are protected. Each chapter analyses the present law critically so as to enable the reader to understand the difficulties, risks and tensions in this area of law, and the attempts made by the legislature and the courts, as well as the parties involved, to deal with them. This book will be of interest to practitioners, academics and students engaged in the practice and study of corporate finance law.

Synopsis Company Law and Corporate Finance by : Eilís Ferran

The limited company is the dominant type of organisational structure for businesses operating in the UK it is the best available mechanism for raising finance and diversifying financial risk. This book identifies the company as a financing vehicle and explains how the law facilitates the raising of finance by providing the corporate form and methods of financing that match the changing needs of a business through its life. The approach sets this book apart from other legal texts and provides it with its distinctive orientation. The rules relating to share capital, debt finance and public offers of securities are clearly explained with emphasis throughout on their practical operation and on the interests that these requirements are intended to protect. Topical corporate finance issues, such as the ways in which companies can return value to their shareholders, are examined. The corporate governance implications of raising finance from external investors are considered. Keycorporate governance issues such as the role of non-executive directors and institutional investors are analysed. For companies that have outside investors, market driven codes of best practice and Stock Exchange requirements can be just as important as the companies legislation and case law. Through the programme of harmonisation, European law now exerts a major influence. These different strands of law and regulation are woven together in the book and there is a timely discussion of areas where reform is necessary or desirable. This is the first book in the UK to deal with the technicalities of company law within a wider framework that recognises the importance of market forces and corporate governance and which seeks to explain to wider audience issues about corporate finance theory and practice that are familiar to financial economists. This is will enable students to develop a wider and more realistic understanding of the operation of company law than is provided by existing texts.

Synopsis Corporate Finance by : William J. Carney

Corporate Finance: Principles and Practice takes a finance-oriented approach to this body of law, instead of the typical casebook approach. Students don't learn finance from the cases; instead, they first learn financial principles, and then apply the finance they've learned to analyze and understand the cases. The book emphasizes what students will need to know as lawyers practicing in the area -- with an emphasis on the contractual solutions employed to deal with the various conflicts and ambiguities that arise in the area.

Synopsis Corporate Finance by : Robert J. Rhee

The purchase of this ebook edition does not entitle you to receive access to the Connected eBook on CasebookConnect. You will need to purchase a new print book to get access to the full experience including: lifetime access to the online ebook with highlight, annotation, and search capabilities, plus an outline tool and other helpful resources. Corporate Finance provides coverage in a more concrete and problem-based approach than other books on the market. Robert J. Rhee distinguishes this casebook from other fine books in the field in four ways: This book is interdisciplinary in nature, providing essential coverage of the basic concepts of accounting and finance needed for a business lawyer to understand the economics of the transaction; this book facilitates ease of learning and teaching, avoiding excerpting technically dense academic writings in finance and economics, which can intimidate students and teachers; it provides a basic understanding of financial instruments to prepare students for corporate practice, including many examples of actual financial contract terms and other transactional documents taken from various sources; this book takes a business and transactional perspective, including several case studies, which give students the opportunity to analyze legal problems in the context of business transactions. New to the Second Edition: Updates to the accounting materials in Chapter 1, including a presentation of the financial statements of Google (Alphabet) and Facebook (Meta Platforms). New Delaware appraisal cases that deal with the use of the discounted cash flow method of valuation. Revisions to Chapter 7, Debt Instruments, in light of new cases and materials on indentures and covenants. Additional materials on venture capital investments. Revisions to Chapter 9, Derivatives, to focus on plain vanilla put and call options. A new Chapter 10 (Structured Finance) has been added to discuss structured finance transactions and instruments with a focus on asset securitizations and credit derivatives. Professors and students will benefit from: Clear coverage of accounting, finance, valuation, and transactional economics along with good coverage of the major categories of financial instruments (common stock, preferred stock, debt, convertible securities, and derivatives). By the end of the course, students will have a basic understanding of the business aspects of corporate financing and the legal features of the majority classes of financial instruments used in corporate financing. Materials on accounting, finance, valuation, and transactional economics are presented in a clear, accessible way. Editing and annotation of the case opinions facilitate ease of reading and learning. Case studies of actual transactions at the end of some chapters, which illustrate the real-world application of the use of various securities.

Synopsis Modernism and the Meaning of Corporate Persons by : Lisa Siraganian

Winner, Matei Calinescu Prize, Modern Language Association Winner, 2021 Modernist Studies Award, Modernist Studies Association Long before the US Supreme Court announced that corporate persons freely "speak" with money in Citizens United v. Federal Election Commission (2010), they elaborated the legal fiction of American corporate personhood in Santa Clara v. Southern Pacific Railroad (1886). Yet endowing a non-human entity with certain rights exposed a fundamental philosophical question about the possibility of collective intention. That question extended beyond the law and became essential to modern American literature. This volume offers the first multidisciplinary intellectual history of this story of corporate personhood. The possibility that large collective organizations might mean to act like us, like persons, animated a diverse set of American writers, artists, and theorists of the corporation in the first half of the twentieth century, stimulating a revolution of thought on intention. The ambiguous status of corporate intention provoked conflicting theories of meaning—on the relevance (or not) of authorial intention and the interpretation of collective signs or social forms—still debated today. As law struggled with opposing arguments, modernist creative writers and artists grappled with interrelated questions, albeit under different guises and formal procedures. Combining legal analysis of law reviews, treatises, and case law with literary interpretation of short stories, novels, and poems, this volume analyzes legal philosophers including Oliver Wendell Holmes, Jr., Frederic Maitland, Harold Laski, Maurice Wormser, and creative writers such as Theodore Dreiser, Muriel Rukeyser, Gertrude Stein, Charles Reznikoff, F. Scott Fitzgerald, and George Schuyler.
