Corporate governance initiatives have been developing at a rapid pace in the Commonwealth Caribbean through legislation, case law and codes. Commonwealth Caribbean Corporate Governance offers an overview of current practice and legal developments in corporate governance, highlighting the interpretation of the legislation through case law and the codes of corporate governance which have now been implemented. It also considers the challenges which emerging markets face in an attempt to adopt the corporate governance initiatives of developed markets. This text explores the emergence and development of corporate governance in the region from a range of angles, including the protection and empowerment of shareholders, the impact on government agencies, and the role and responsibilities of directors and officers in companies and in government agencies. Written by a panel of academics, legal practitioners and experts working in business, this book will be an invaluable resource for judges, lawyers, corporate executives and students of business, corporate law and corporate management.

Synopsis Caribbean Corporate Governance by : Peter W. Jones
There are many challenges to establishing good corporate governance standards in developing countries like the members of CARICOM, such as: -Minority investor protection isn't available or adequately enforced; -Costly corporate and securities law reforms are deemed unjustified, or of low priority; -Few firms are publicly listed and many lack true liquidity; and -Corporate governance is not seen as applying to non-listed companies.

Synopsis Ownership, Corporate Governance and Liquidity in Caribbean Firms by : Marcia Jackson
This paper examines the relationship between ownership, corporate governance and liquidity in a Caribbean setting. Results show that firms with concentrated ownership are associated with lower liquidity. Further, the direction of the association depends on the identity of the largest shareholder. Specifically, firms with government, foreign holding companies and foreign institutions as the largest shareholder are less liquid. Although the second largest shareholding does not appear to matter to liquidity, there is some evidence showing that firms with foreign institutions as the second largest shareholder are less liquid. Corporate governance, however, is not related to liquidity.

Synopsis Corporate Governance and Data Protection in Latin America and the Caribbean by : Héctor J. Lehuedé
This paper describes and discusses the relation between cybersecurity and corporate governance with a special interest on data protection in Latin America and the Caribbean. The motivation for the work resides in the growing role that data protection and privacy laws and regulations in developed countries reserve for corporate governance. These laws increasingly assign responsibilities to boards of directors and management with the expectation to incentivize firms to take data protection seriously in the face of cybersecurity and privacy risks. The paper presents these new rules and explores their current and potential use in the region, focusing on the rules and practices on data protection by Argentina, Brazil, Chile, Colombia, Mexico, Peru, and Uruguay. The paper was commissioned by the United Nations' Economic Commission for Latin America and the Caribbean, ECLAC.
